we say two bodies are in thermal equilibrium when there is no exchange of heat between them.i.e. both temp. are same

Think about a melted bucket of ice. The melted ice will not turn back into ice in that system. The system is 'used up.' The entropy has won. Every system over a period of time must reach thermal equilibrium. At that point, it can do no more work.
