I would say the big differences between the two are that Confucius believes that the job of the leader is to be an example, and that an effective leader shouldn't have to create laws because there will be no problems if everyone just follows the effective leader's example.

Han Fei-tzu believes people are naturally bad, and there should be laws to tell them what to not to do, and Confucius thinks that people are naturally good and that there don't need to be any laws at all.
