Quite an interesting problem.  Clearly, your instructor expects greater than average understanding of the concepts that this problem involves.  
I'd suggest that y ou begin by identifying any words in the problem statement whose meaning is not clear to you.  We'll clear them up.

Next suggestion wuold be that you find examples of actual factoring by grouping and share a couple of them, along with other examples of non-factoring-by-grouping problems.  Then we'd have something to compare and contrast.
