The second statement is the incorrect one. Please transcribe this into symbols and then compare your result with the Product Rule; you'll see that the Product Rule involves all of the following: f(x), g(x), f '(x), g 'x, and involves the sum of two products:

(d/dx)[f(x)*g(x)] = f(x)*g '(x) + g(x)*f '(x)
