That first one looks completely fine to me .-. I mean, there shouldnt be an apostrophe added anywhere as far as I know .-.

I can agree that ( 1 ) does not appear to require an apostrophe. In ( 2 ), it may be helpful to know what the modal verbs are. From there, you should be able to identify where the verb phrase is going.
