Eukaryotes have a nucleus and prokaryotes do not. The DNA in the prokaryotes just float in the prokaryote.

As gabriel says prokaryotes lack a nucleus and also an inner membrane structure (the endoplasmatic reticilum and golgi apparates). Prokaryotes also lack endosymbiotic cellorganelles like mitochondria and chloroplasts (plants) Also the ribosomes are put together from different ribosomal RNA. Cell-organelle legend with most important functions nucleus - holds the cell's DNA Ribosome - Makes proteins Endoplasmatic reticilum - proteins are made here (by ribosomes attached to them) Golgi apparatus - Sugar groups are put on proteins here as a finishing touch ;) Mitochondria - Makes energy from food (roughly said) Chloroplasts - catch sunlight to generate energy =D and keep the zombies off the lawn
